Could very well bridge the difference between what we want for the player and what Valencia can afford to pay. Wages off the books, loyalty bonus foregone and £2-3m say and there's a deal to be had for all parties.

It's not really a loyalty bonus per se. You have to think of it in pure contract law terms. A club - we'll call it Botford - signs a player up to ludicrous 5 year contract. They agree to pay him £X a week for that period. If they try to sell him before that period if up, Botford are breaching the contract they have with him and so he's entitled to compensation accordingly.
Indeed. It's not something I'm overly familiar with, but it seems that rather than hand in a request, players can easily use social media, carefully worded come and get me interviews and their agents to agitate for a move, whilst ostensibly staying 'loyal.'
But that doesn't make sense. The player has to consent to the sale and in doing so, transfer the obligations of that transfer onto the purchaser. It's not like clubs just cut the player adrift.

The easiest way to look at it from a layman's perspective is if you have a fixed rate mortgage for 5 years, where there will be an early repayment penalty. Even though I've agreed to may a certain amount of which includes interest for 5 years, by coming out early the bank want some of the interest they would have received and that's where the penalty comes in. On the other hand, in the unlikely scenario bank don't want my business anymore and tell me to borrow elsewhere and pay up, I shouldn't pay a penalty because it wouldn't be my choice to move the mortgage.
Considering we've made it pretty clear we're happy to sell for less than £5m, I'm surprised there aren't more clubs interested. Still got a good couple of years at the top level in him imo

Well, it is that way, but I'm sure it's reasonable that the move, the possible signing on fee, the probable increase in wages should be enough. Ok, if a player was asked to accept a move downward, to earn less money, then it would make sense.
Any new or lower half Prem club should bite our hands off for anything under 5m. It's chicken feed in Prem money and he would improve any midfield in that bottom half (I say with absolutely no knowledge of any players in those sides). I don't think his wages would be high for a Prem club either, or we wouldn't have signed him.
